お客様へ

当社製品を含んだお客様のInstagram投稿（画像やテキストその他あらゆるコンテンツが含まれ、以下「本投稿」といいます）で「＃アークテリクス」、「＃arcteryxjp」、「＃arcteryx」がタグ付けされているものを当社サイト等でご紹介させていただきます。本投稿の利用その他の条件につきましては以下の各事項をよくお読みいただき、ご確認ください。お客様がこれらの条件に同意もしくは保証を行わない場合、または本投稿の掲載取り下げをご希望の場合は、以下の「お問い合わせ」より取り下げる投稿を記載の上、ご連絡ください。

「当社」はアメアスポーツジャパン株式会社を指します。

１．利用許諾

お客様は、当社および当社と共通支配下にある国内外の法人(以下「当社等」といいます)に対し、販売促進、マーケティング、広告またはその他のあらゆる商業目的のために、当社のウェブページ、ソーシャルメディア、ニュースレター、出版物、販売促進資料、宣伝資料などを含み、かつこれらに限定されないあらゆる媒体において、お客様の本投稿を利用、複製、公衆送信、翻案、改変、公表および翻訳し、ならびに二次的著作物を自由に作成、利用できる恒久的、非独占的かつ譲渡および再許諾可能なライセンス（以下「本ライセンス」といいます）を与えることに同意します。

お客様は、本投稿の表示、公表またはその他の利用に関連して、お客様の名前、肖像またはユーザーネーム/ハンドルネームを使用する権利を当社等に許諾し、当社等はお客様の本投稿にクレジット表示を行うよう合理的な努力を払います。ただし、クレジット表示は義務ではなく、本ライセンスはクレジット表示を条件としません。

２．表明および保証

お客様は、以下の各号に掲げる事項を当社等に表明し、保証します。

• 成年であり、本書に基づく拘束力のある約束を行う能力を有すること。
• 本投稿を送信、配布、複製および投稿するために必要な権利を有すること。
• 本投稿の著作権者であり、または本書に定める利用許諾をするために必要な権利者の許可を得て、本書に記載される利用許諾を履行するための完全かつ必要な権利を有すること。
• 本投稿の中に描写または参照されている人物がいる場合、当該人物それぞれから（未成年者がいる場合、当該未成年者の親権者等の法定代理人から）同意を得ていること。
• 当社等が本書に基づき本投稿を利用することは、いかなる第三者の知的財産権、パブリシティ権、プライバシー権、財産権またはその他の法的権利もしくは著作者人格権を侵害せず、その他の適用される法令および規則に違反しないこと。

３．　お客様による同意

お客様は、以下の各号に掲げる事項を確認し、同意します。

• 本投稿および本投稿に関連する広告コピーおよび完成物を検査または承認する権利を放棄すること。
• 利用許諾に係るロイヤルティその他のあらゆる支払い請求を放棄すること。
• 当社等が本書に基づき本投稿を利用したことに関して、お客様が損失等を被ったとしても当社等は一切責任を負わないこと。
• 当社等は、理由の如何を問わず、いつでも本投稿の利用を停止および削除することができること。お客様から削除要請を受けた場合、当社等は適用法令に従い、合理的な範囲内での対応に努めること。
• 当社のプライバシーポリシーに同意すること。
  ただし、プライバシーポリシーと本書の定めに矛盾がある場合には、本書の定めを適用します。
• 本投稿に個人情報が含まれる場合、当該情報は日本国外にあるサーバ、当社等の会社および委託先等に移転、保管されることがあること。
  
  

４．　補償

適用される法律上で許される範囲内において、お客様は、(a)本書のいずれかの条件に対するお客様による違反、(b)商標権、著作権、財産権またはプライバシー権を含むがこれに限定されない第三者の権利に対するお客様の違反、または(c)お客様の本投稿が第三者に何らかの損害を与えたという申立てに起因する、すべての損害、損失、経費および費用（弁護士費用を含む。）に対して、当社等を防御、補償および免責することに同意します。

We would like to feature your Instagram posts (including images, text, and all other content, collectively referred to as the "Post") that contain our products and are tagged with “#アークテリクス“, “#arcteryxjp” or “#arcteryx” on our website and other channels. Please carefully read and review the following terms regarding the use of your Post and other conditions. If you do not agree to or cannot provide the warranties set forth in these terms, or if you wish to have your Post removed, please contact us through the inquiry link below, specifying the Post to be removed.

“We,” “us,” or the “Company” refers to Amer Sports Japan, Inc.

1. License Grant

You agree to grant the Company and its domestic and international affiliates under common control (collectively, "Company Group") a perpetual, non-exclusive, transferable, and sublicensable license (the "License") to use, reproduce, publicly transmit, adapt, modify, publish, and translate your Post, and to freely create and use derivative works therefrom, in any and all media, including without limitation the Company's webpages, social media, newsletters, publications, promotional materials, and advertising materials, for the purposes of sales promotion, marketing, advertising, or any other commercial purpose.

You grant the Company Group the right to use your name, likeness, or username/handle in connection with the display, publication, or other use of your Post. The Company Group will use reasonable efforts to provide attribution credit for your Post; provided, however, that attribution is not an obligation and the License is not conditioned upon such attribution.

2. Representations and Warranties

You represent and warrant to the Company Group the following:

• You are of legal age and have the capacity to enter into binding commitments under these terms.
• You have the necessary rights to submit, distribute, reproduce, and post the Post.
• You are the copyright owner of the Post, or you have obtained the necessary permissions from the rights holder(s) to grant the license described herein, and you hold all rights necessary to perform the license grant set forth in these terms.
• If any individuals are depicted or referenced in the Post, you have obtained consent from each such individual (or, in the case of a minor, from such minor's parent or legal guardian).
• The Company Group's use of the Post pursuant to these terms will not infringe any third party's intellectual property rights, publicity rights, privacy rights, property rights, or any other legal rights or moral rights, and will not violate any other applicable laws or regulations.

3. Customer Consent

You acknowledge and agree to the following:

• You waive any right to inspect or approve the Post and any related advertising copy or finished materials.
• You waive any claim for royalties or any other payment in connection with the License.
• The Company Group shall bear no liability whatsoever for any loss or damage you may incur in connection with the Company Group's use of your Post pursuant to these terms.
• The Company Group may cease using or delete the Post at any time and for any reason. If the Company Group receives a request from you to delete the Post, the Company Group will, in accordance with applicable law, use reasonable efforts to respond to such request.
• You agree to the Company Privacy Policy, available at: https://arcteryx.jp/policies/privacy-policy. In the event of any conflict between the Privacy Policy and these terms, these terms shall prevail.
• If the Post contains personal information, such information may be transferred to and stored on servers located outside Japan, at Company Group entities, and at their service providers.

4. Indemnification

To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless the Company Group from and against all damages, losses, costs, and expenses (including attorneys' fees) arising out of: (a) your breach of any of these terms; (b) your violation of any third-party rights, including without limitation trademark rights, copyrights, property rights, or privacy rights; or (c) any claim that your Post has caused damage to a third party.
